TERMS OF SERVICE - VENDA SERVICES LTD.

These Terms of Service (“Terms”) govern your use of the Venda platform, website, mobile applications, and related services (“Platform” or “Services”). By accessing or using Venda, you agree to be bound by these Terms.

“Venda,” “we,” “our,” or “us” refers to the Venda Services Ltd. company.
“You,” “User” means any individual or business using the Platform.
“Vendor” means a service provider offering services through Venda.
“Customer” means an individual or entity booking or purchasing a service through Venda.

If you do not agree to these Terms, do not use the Platform.

1) About Venda

Venda is a service marketplace and facilitation platform. Customers use Venda to discover, book, and pay for services offered by Vendors. Vendors use Venda to promote their services, manage bookings, communicate, and receive payments.

Venda provides:

  • Service listings and structured vendor profiles
  • Customer–Vendor messaging
  • Booking tools
  • Secure payment processing, fund holding, and payout services
  • Review and rating systems
  • Dispute handling and refund mechanisms
  • Trust & safety enforcement

Venda does not perform services.
Service delivery and service performance are the Vendor’s responsibility.

2) Marketplace Role

Venda is a facilitator, payment intermediary, and matching platform—not the service provider.

2.1 No Service Provision

Vendors are independent service providers.
Vendors—not Venda—are responsible for:

  • Delivering the service
  • Service quality, performance, and outcomes
  • Professional qualifications, licenses, and compliance
  • Accuracy of listings and representations
  • Customer service and communication

Venda does not supervise, direct, or control how Vendors perform their services, and Vendors are independent providers who are solely responsible for their work.

2.2 Contracting

When a Customer books a service through Venda:

  • The contract for the service is between the Customer and the Vendor.
  • Venda is not a party to this contract.
  • Venda provides payment handling and platform support only.

3) Eligibility

To use Venda you must:

  • Be at least 18 years old
  • Have the legal authority to enter into contracts
  • Use accurate, truthful information
  • Comply with all applicable laws

Vendors must meet all legal and licensing requirements for the services they offer.

4) Marketplace Use & User Conduct

Users agree NOT to:

  • Violate any law or regulation
  • Post false, misleading, or fraudulent information
  • Harass, threaten, or abuse other users
  • Use the platform to promote illegal or unsafe services
  • Send spam, harmful content, or unauthorized promotional messages
  • Misuse or unlawfully process customer data
  • Attempt to circumvent payments or transact outside Venda (“off-platform activity”)

Violations may result in suspension or removal.

5) Payments, Fund Holding & Payouts

Venda processes payments for services booked through the platform.

5.1 Customer Payments

Customers authorize Venda to:

  • Charge their selected payment method
  • Hold funds until service completion
  • Release funds to Vendors per marketplace rules

5.2 Escrow-Style Holding

Venda may hold customer funds pending:

  • Confirmation of service delivery
  • Dispute reviews
  • Refund requests
  • Fraud audits
  • Vendor verification checks

5.3 Vendor Payouts

After service completion and any required confirmation:

  • Funds are released to the Vendor (minus applicable fees)
  • Vendors are responsible for taxes, VAT, and regulatory filings

5.4 Payment Processors

Venda may use third-party payment providers (e.g., Paystack). These providers may have their own terms that Users must comply with.

6) Refunds, Cancellations & Disputes

Venda manages refunds as part of its platform role, but refunds do not make Venda responsible for service performance.

6.1 Refund Policy

Refunds may be issued when:

  • The Vendor does not show up or fails to perform
  • The service was not delivered as agreed
  • A Vendor engages in misconduct, fraud, or unsafe behavior
  • A booking was cancelled within policy limits
  • Required by platform guidelines or law

Refund decisions are at Venda’s discretion based on platform policies.

6.2 Disputes

In case of a dispute:

  • Customers can submit a claim through Venda
  • Venda may request evidence from both parties
  • Venda may refund the Customer, pay the Vendor, or split funds
  • Venda’s decision is final for platform purposes

NOTE: Dispute resolution does not change the legal relationship between Customer and Vendor.

7) Vendor Responsibilities

Vendors must:

  • Provide accurate and complete service descriptions
  • Comply with all applicable laws and licensing requirements
  • Deliver services professionally and safely
  • Communicate clearly, respectfully, and promptly
  • Honour bookings, pricing, and terms displayed on Venda
  • Maintain high service standards
  • Not engage in harassment, discrimination, or unethical conduct
  • Protect Customer data and privacy

Vendors grant Venda the right to enforce marketplace rules.

8) Ratings, Reviews & Performance Management

Venda offers ratings and review tools to maintain marketplace trust.

8.1 Vendor Ratings

Customers may rate completed services.
Ratings may affect:

  • Vendor visibility
  • Vendor ranking
  • Access to certain features

8.2 Review Moderation

Venda may remove reviews that are:

  • Abusive
  • Fraudulent
  • Irrelevant
  • In violation of guidelines

8.3 Quality Enforcement

Venda may take action when vendors repeatedly:

  • Receive poor ratings
  • Generate customer complaints
  • Cancel bookings
  • Provide unsafe or low-quality services

Actions may include:

  • Warnings
  • Reduced visibility
  • Suspensions
  • Permanent removal

9) Messaging & Meta Platforms Integrations

Venda integrates with WhatsApp messaging which is a Meta Platforms, Inc. (“Meta”) product.
Vendors must comply with:

  • WhatsApp Business Policies
  • Anti-spam rules
  • User consent rules
  • Opt-out requirements

Misuse may result in Vendor removal.

10) Intellectual Property

10.1 User Content

Vendors retain ownership of their content.
By using Venda, you grant Venda a license to:

  • Host
  • Display
  • Format
  • Modify (for rendering)
  • Distribute
  • Use content to deliver marketplace features

10.2 Platform IP

Venda owns all:

  • Software
  • Branding
  • Designs
  • Data models
  • Algorithms
  • Marketplace features

Users may not copy, reverse engineer, or resell access.

11) Privacy & Data Protection

Venda processes personal data in line with:

  • NDPR (Nigeria Data Protection Regulation)
  • GDPR (if applicable)
  • Meta data handling guidelines
  • Venda Privacy Policy

Roles:

  • Vendors = Data Controllers for customer-service data
  • Venda = Data Processor for Vendor customer data
  • Venda = Data Controller for Vendor accounts

12) Third-Party Services

Venda integrates with third-party tools.
Venda is not liable for outages, downtime, data loss, or changes imposed by external providers.

13) Termination

Venda may suspend or terminate accounts for:

  • Violations of these Terms
  • Fraud or unsafe behavior
  • Poor performance
  • Policy violations
  • Illegal services or conduct

Termination may result in forfeiture of pending payouts in cases of fraud or platform risk.

14) Disclaimers

Venda provides the platform “as is” and “as available.”
Venda does not guarantee:

  • Service quality
  • Vendor qualifications
  • Vendor performance
  • Error-free operation
  • Continuous availability
  • The accuracy of information provided by Vendors or Customers

Users interact at their own risk.

15) Limitation of Liability

To the fullest extent permitted by law:

  • Venda is not liable for indirect or consequential damages
  • Venda is not liable for service performance, quality, or outcomes
  • Venda’s total liability is limited to fees paid in the 12 months preceding any claim

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.
Disputes shall be resolved through:

  1. Good-faith negotiation, then
  2. Arbitration before the Lagos Court of Arbitration (LCA)

Class actions are waived where legally permitted.

17) Updates to These Terms

Venda may modify these Terms at any time.
Continued use indicates acceptance of the updated Terms.
